These services are provided to you, the agency, for resale to your end-clients. We operate strictly behind the scenes to ensure your brand receives full credit for the work delivered. All services are subject to the specific scope of work agreed upon in a separate proposal or statement of work.

3. White-Label and Confidentiality

We understand the importance of discretion in a white-label partnership. We agree to:

  • Non-Disclosure: We will not disclose our relationship to your clients or any third parties without your express written consent .

  • Non-Circumvention: We will not solicit, contact, or attempt to sell services directly to your clients .

  • Confidential Information: We will keep all information shared by you including client data, strategies, and project details strictly confidential .

4. Client Responsibilities

To ensure the successful delivery of Services, you agree to:

  • Provide us with all necessary information, content, and access in a timely manner .

  • Designate a primary point of contact for communication and project feedback.

  • Review and approve deliverables within the agreed-upon timeframe. Delays in feedback may impact project timelines .

5. Payment Terms

  • Fees: Pricing for services is detailed in your project quote or proposal and is valid for 30 days .

  • Invoicing: Invoices are typically sent and are due within 30 days of the invoice date .

  • Late Payments: Late payments may incur a finance charge of 1.5% per month and may result in the suspension of active projects .

  • You are responsible for payment regardless of whether you have collected payment from your end-clients .

6. Intellectual Property Right

  • Ownership of Deliverables: All work created by us and paid for by you is owned by you upon receipt of full payment. We grant you full ownership or a perpetual, non-exclusive license to use the deliverables for your clients .

  • Background IP: We retain ownership of any pre-existing tools, software, or frameworks used to provide the Services .

  • Portfolio Rights: We reserve the right to use anonymized case studies or, with your written permission, use your name and logo in our portfolio and marketing materials .

7. Revisions and Project Changes

  • Revisions: Most projects include a set number of revision rounds as defined in your project plan. Additional revisions may be billed separately .

  • Scope Changes: If a project’s scope changes significantly after work has begun, we will provide a revised quote and timeline for approval before proceeding .

8. Limitation of Liability and Disclaimer of Warranties

  • As-Is Service: Our Services are provided on an “AS IS” and “AS AVAILABLE” basis. While we strive for excellence, we do not guarantee specific results, such as first-page search engine rankings or a specific number of sales .

  • Limitation of Liability: To the fullest extent permitted by law, 360whitelabelagency shall not be liable for any indirect, incidental, or consequential damages including loss of profits or data arising from the use of our Services. Our total liability is limited to the amount paid for the service in question .

  • Third-Party Platforms: We are not responsible for outages or changes made by third-party platforms (e.g., WordPress, Google, Meta) that may affect your website or campaigns .

9. Termination

Either party may terminate a project with written notice. In the event of termination, you are responsible for paying for all work completed up to the date of termination . We may terminate or suspend access to our Services for breach of these Terms, especially regarding confidentiality and non-circumvention.
